THE EXECUTIVE DIRECTOR ON THE BOARD

The vast majority of nonprofit organizations in the US and elsewhere are “staff-less.” Volunteers carry out the direct services and the administrative duties.  Think of all those sports clubs for kids groups!  Let alone those for adults!

It is not uncommon in such a group to have the founder as quasi-executive director or chief executive officer.  Once there is compensation for that executive position the rules change.  In the US the IRS requires reporting if a member of the board is provided compensation.  Something frowned on by IRS (depending on your nonprofit designation).  So, should the ED be a member of the Board?
